Shoppal Terms and Conditions

1. To utilize any of the Services and become a Merchant, you must lawfully market and/or sell your own products and/or services ("Products") through our platform provided by Shoppal. This may include transactions via an online platform, mobile application ("App"), and/or a physical store ("Merchant Shop") that you own and operate. You must have complete right, title, and authority to deal in and offer for sale such items.
2. To access the Services, you are required to register for a Merchant account ("Merchant Account") that grants you access to the Merchant platform within our Site ("Merchant Platform"). During the application process, you must provide us with the following Merchant details: legal name, address, phone number, and email address.
3. Please note that acceptance of your registration application is not guaranteed, and we reserve the right not to enter into this Agreement with you for reasons such as previous suspension from our Services or if you pose an unacceptable level of risk for Shoppal.
4. By using the Shoppal platform and becoming a Merchant, you acknowledge and agree that Shoppal is not responsible for the quality, safety, legality, or any other aspect of the Products sold by Merchants using the Shoppal platform. You are solely responsible for ensuring that your Products comply with all applicable laws and regulations and that they are fit for their intended purpose.
5. You agree to indemnify and hold harmless Shoppal, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees and costs, arising out of or related to your use of the Shoppal platform, your Products, or your violation of these Merchant Terms.
6. You acknowledge and agree that Shoppal may modify these Merchant Terms at any time, in its sole discretion. It is your responsibility to regularly review these Merchant Terms to stay informed of any changes. Your continued use of the Shoppal platform following any modifications to these Merchant Terms constitutes your acceptance of such modifications.
7. You acknowledge and agree that Shoppal may suspend or terminate your Merchant Account and access to the Shoppal platform at any time, for any reason or no reason, at its sole discretion, without liability to you or any third party.
8. You are responsible for complying with all applicable laws and regulations related to your use of the Services and sale of your Products through the Shoppal POS system.
9. You must ensure that all information you provide to us is accurate and up-to-date, and you must promptly update any changes to your information.
10. We may suspend or terminate your Merchant Account or use of the Services at any time, for any reason, without notice or liability to you.
11. We do not guarantee any particular level of exposure or success for your Products or your use of the Services.
12. You agree that you will not use the Services to market, sell, or promote any illegal products or services. You are responsible for ensuring that all of your Products comply with all applicable laws, regulations, and industry standards. Shoppal reserves the right to remove any Products from the Site that it reasonably believes violate these terms.
13. While we have implemented best practices and measures to ensure the security and reliability of your transactions, it's important to acknowledge that Shoppal utilizes third-party servers. By signing up, you agree that Shoppal shall not be held responsible for any data losses resulting from the unavailability or errors in third-party servers, or from coding bugs and errors within the Shoppal application itself. We strive to minimize bugs and errors through diligent testing and development practices, but we cannot guarantee the absence of all bugs. By using Shoppal, you acknowledge the inherent risks associated with software usage and agree to hold us harmless for any issues arising from such bugs or errors.
